Trading & Agency Agreement
Governing Community Sales Agents & Independent Distributors | GM Farming (Pty) Ltd
1. Nature of Relationship (Independent Contractor)
This Trading & Agency Agreement governs the appointment of Community Agents on the Farmazone Trading platform. Community Agents are appointed as independent commercial contractors and independent distribution partners. Nothing in this Agreement shall create an employment relationship, partnership, joint venture, or franchise between GM Farming (Pty) Ltd and any Community Agent under the South African Basic Conditions of Employment Act or Labour Relations Act.
2. Agent Responsibilities & Territory Operations
Community Agents are assigned specific delivery zones and postal territories within KwaZulu-Natal and surrounding regions. Agents are responsible for:
- Promoting, selling, and distributing farm-fresh produce and veg boxes to registered buyers in their assigned area.
- Receiving bulk produce dispatches at designated pack-sheds or local drop-off points.
- Verifying order quantities, pack labels (Value, Standard, Large tier boxes), and maintaining the cold chain during final-mile customer delivery.
- Collecting customer delivery PINs or signatures as mandatory proof-of-delivery (POD).
3. Lug Crate Deposits & Return Protocol
Physical plastic lug crates used for bulk produce transport carry a refundable deposit value. Agents are strictly responsible for returning empty, clean lug crates to designated pack-shed collection points:
- Returned lugs are inspected and credited to the Agent's digital wallet upon scan-in.
- Unreturned, damaged, or stolen lug crates will result in deposit forfeiture or a debit against the Agent's wallet ledger.
4. Agent Wallet, Earnings & Withdrawal Terms
Community Agents earn sales commissions and delivery fulfillment fees credited directly to their Farmazone Digital Wallet upon successful order completion:
- Wallet balances can be utilized for pre-funded stock purchases or withdrawn directly to the Agent's verified South African bank account.
- Withdrawal requests are processed within 24–48 business hours following verification of account ownership.
- Farmazone reserves the right to hold wallet funds in the event of unresolved customer disputes, suspected fraud, or unreturned crate deposits.
5. Conduct & Brand Representation
Agents shall act in good faith, represent webuyveg.com with integrity, and adhere to South African food safety and biosecurity guidelines. Unauthorized representations, price tampering, or misrepresentation of produce origin shall result in immediate account termination and wallet freeze.
